Thank you for using Groceryspices! These Terms of Service* governs your use of Groceryspices services, including websites, mobile applications, devices, APIs, or artificial intelligence(“AI”) powered generative experiences that are operated by Groceryspices or its subsidiaries and affiliated (collectively, the “Services”), and are entered into by you and ----- Inc.(d/b/a Groceryspices), a ----- corporation, and its subsidiaries and affiliates (“Groceryspices”). The Agreement applies to visitors, users, and other parties who access the Services (each, hereafter a “user”)

This document outlines the terms and conditions governing the use of groceryspices.com online supermarket and its associated services. By using the Services, you agree to be bound by any terms and conditions and agree to the collection, use, and disclosure of your personal information in accordance with Groceryspices privacy policy. If you are using or accessing the Services through a Business Account, your use of the Services is governed by Groceryspices Business Account Terms and Conditions.

Article 1: Disputes 

"These Terms and Conditions are governed by French law.

In the event of a dispute relating to these Terms and Conditions, the Customer should first contact Groceryspices’s customer service department to attempt to resolve the matter amicably.

If the amicable resolution fails, the Customer has the right to refer the matter to a consumer mediator, in accordance with the provisions of the French Consumer Code. Groceryspices will provide the Customer with the contact details of the competent consumer mediator upon request. The Customer may also consult the website of the European Commission's Online Dispute Resolution platform.

Failing recourse to mediation, the Customer may bring the matter before the competent French courts. << must be written with the help from a lawyer>>

The Services include a technology platform that presents you with a set of one or more retailer (each a “Retailer”) virtual storefronts from which you can select goods for picking and packing by one or more personal shoppers and delivery to your location or, if available, for you to pick up in-store. Depending on the Retailer from whom you purchase goods through the Services, picking and packing, and delivery services may be performed by third parties, which may include Retailer personnel, independent contractors, and third-party logistics providers (collectively, “Third-Party Providers”). 

You acknowledge that Groceryspices does not supervise, direct, or control the performance of services provided by Third-Party Providers, and that Third-Party Providers are neither employed by, nor in any partnership or joint venture or agency relationship with, Groceryspices.

When you use the Services to place an order for goods, you authorize the purchase of those goods from the Retailers you select and, if you have selected delivery services, the delivery of those goods by Third-Party Providers. Unless otherwise specified, you acknowledge and agree that Groceryspices and the Third-Party Provider are collectively acting as your agents in the ordering, picking, packing, and/or delivery of goods purchased by you and that the Retailer—not the Third-Party Provider and not Groceryspices—is the seller of the goods to you. You agree that your purchase is being made from the Retailer you have selected, that the Retailer is the merchant of record, and that title to any goods passes to you when they are purchased at the applicable Retailer’s store. You agree that Groceryspices or the applicable Retailer will obtain authorization for your credit card, debit card, or other payment method on file with Groceryspices to cover the cost of the goods you have purchased from the Retailer and any separate Groceryspices fees and optional tips, and your payment method will be charged for the goods purchased by you and any applicable fees, taxes and/or tips. 

Groceryspices may change the fees it charges for the Services, including but not limited to delivery fees, priority fees, service fees (including additional service fees and/or surcharges to help offset specific costs), direct-to-consumer shipping fees, long-distance fees (for deliveries outside the delivery area for a Retailer), regulatory-related fees, bag fees, and special handling fees. Groceryspices may vary certain fees based on demand, order attributes, and/or other factors.  Your payment instrument will be temporarily authorized for an amount greater than the total amount of the purchase appearing in the original checkout. This higher authorized amount will be disclosed during the purchase process and is a temporary authorization charge on your order, to deal with situations where your total purchase amount turns out to be higher than the original amount due to special requests, added items, replacement items, weight adjustments, or tips that you may elect to add after delivery. Retailers set the prices of the goods on the Services, and some Retailers may set prices for goods on the Services that differ from in-store prices, differ between storefronts, or differ from the prices available on other online platforms or services. The prices displayed on the Services may not be the lowest prices at which the same goods or items are sold. Individual Retailers may operate multiple storefronts with different pricing, selection, and order fulfillment. You can view each Retailer’s pricing policies (which may change from time to time) on their storefront(s) on both the website and in the Groceryspices app. 

You also acknowledge and agree that, except as expressly provided for otherwise in these Terms or a separate agreement between you and Groceryspices, Groceryspices does not form any employment or agency relationship with you and does not hold title to any goods that you order through the Services. 

Unless otherwise indicated, all prices and other amounts are in the currency of the jurisdiction where the delivery takes place. 

Occasionally there may be information on the Services that contains typographical errors, inaccuracies, or omissions that may relate to pricing, product descriptions, promotional offers, and product availability. Groceryspices reserves the right to correct any errors, inaccuracies, or omissions and to change or update information or refuse or cancel orders if any information on the Services is inaccurate at any time without prior notice (including after you have submitted your order and/or your payment method has been charged). 

 

Groceryspices grants you a limited, non-exclusive, non-transferable, and revocable license to use the Services for their intended purposes subject to your compliance with these Terms, Groceryspices Community Guidelines for Customers and any other Groceryspices policies. You may not copy, modify, distribute, sell, or lease any part of the Services. Unless such restriction is prohibited by law or you have Groceryspices’ s written permission, you may not reverse engineer (including tracking the inputs and outputs flowing through our system or application to mimic or recreate the system or application) or attempt to extract the source code of the Services. You may only access the Services through the interfaces that Groceryspices provides for that purpose (for example, you may not “scrape” or “data mine” the Services through automated means or “frame” any part of the Services), and you may not interfere or attempt to disrupt the Services.  You further agree that you will not use the Services or any information contained therein or obtained therefrom, including any output or other information derived from the Services, to directly or indirectly create, train, test, or improve any machine learning, large language, or artificial intelligence models, or similar or competing product, service, or technology (including for research purposes, open source, or other non-commercial use). 

Some parts of the Services may allow you to upload or submit content (such as text, images, video, recipes, lists, links, and other materials). As between you and Groceryspices, you retain all rights in any content that you upload or submit and are solely responsible for that content. By uploading content, you represent and warrant that you either own it or are authorized to grant Groceryspices the rights described in these Terms. You are responsible and liable if any of your content violates or infringes the intellectual property or privacy rights of any Third-Party.  You grant Groceryspices a non-exclusive, royalty-free, worldwide, transferable, sub-licensable, perpetual license to use, store, publicly display, publicly perform, reproduce, modify, create derivative works from, or distribute any such content, and to use the content to train, test, or otherwise enhance our machine learning algorithms, to operate, provide, and improving the Services. Groceryspices may, in its sole discretion, remove or take down any content that you upload or submit to the Services for any reason, including violation of these Terms, the Groceryspices Community Guidelines for Customers or any other policies. 

You may have the option of accessing the Services through downloadable software and this software may update itself automatically on your device. Some software, or portions of software, in the Services, may be governed by open-source licenses. In that case, Groceryspices will make such licenses available to you and, in the case of conflict between such a license and these Terms, the open-source license will control but only with respect to the software, or portion of the software, to which it applies.

By using the Services, you represent and warrant that you are of legal age in the jurisdiction in which you reside to form a binding contract with Groceryspices.  If you are using Groceryspices Services for its intended purposes on behalf of a business or other entity, you represent and warrant that you have the necessary authority to bind that business or entity to these Terms and that you are agreeing to these Terms on behalf of that business or entity. 

To use the Services, you may need to create a user account. You agree that you are responsible for all conduct and transactions that take place on or use your account and that you will take precautions to keep your password and other account information secure. You also agree that you will comply with all applicable laws when accessing or using the Services, you will adhere to the Groceryspices Community Guidelines for Customers(which may be updated from time to time) and any other applicable Groceryspices policies, and you will respect those who you encounter in your use of the Services, including Third-Party Providers, Groceryspices personnel, and individuals who support Groceryspices’ s Help Center. Groceryspices reserves the right to decline orders, refuse partial or full delivery, terminate or restrict access to accounts or Services, and/or cancel orders at any time in its sole discretion. Groceryspices may periodically offer you certain incentives or benefits (e.g. trial Groceryspices+ membership, credit, coupon, promotion code, and/or discount code).

We’re constantly modifying and improving the Services. Groceryspices may introduce new features, change existing features, or remove features from the Services at any time and without notice. If you provide Groceryspices with any feedback or comments regarding the Services, you grant Groceryspices the right to use such feedback or comments for any purpose without restriction or payment to you. 

If you have any requests for order cancellations, refunds, or returns, please visit your account to initiate such requests or review our Help Center articles for our policies regarding the same. Please note that once a shopper has begun shopping for your order and/or delivery has begun, you may no longer have the option to reschedule or cancel the order. If we can reschedule or cancel your order, you may be charged a fee and/or may not be refunded for items that have been purchased on your behalf.

If Groceryspices suspects or determines, in its sole discretion, any fraud, tampering, abuse, or violation of our Terms of Service in connection with your use of the Services (including but not limited to any order, refund, or use of an incentive or benefit), Groceryspices reserves the right to cancel the order, decline or reverse a refund, charge your card on file, revoke, cancel and/or terminate the incentive or benefit, or to take other remedial measures.

By creating a Groceryspices user account, you agree to accept and receive communications from Groceryspices or Third-Party Providers, including via email, text message, calls, and push notifications to the cellular telephone number you provided to Groceryspices. You understand and agree that you may receive communications generated by automatic telephone dialing systems and/or which will deliver prerecorded messages sent by or on behalf of Groceryspices, its affiliated companies, and/or Third-Party Providers, including but not limited to communications concerning orders placed through your account on the Services. Message and data rates may apply. If you do not wish to receive promotional emails, text messages, or other communications, you may opt out of such communications at any time in Your Account Settings or by using the unsubscribed mechanism included in the message, where applicable. You may also opt out of receiving promotional text messages from Groceryspices by replying “STOP” from the mobile device receiving the messages. 

If you use the Services to order a prescription drug product (where available), you understand and agree that user inquiries must be conducted via telephone. You also understand and agree that a third-party pharmacy and/or Groceryspices may send you unencrypted SMS messages, push notifications, or other electronic notifications relating to prescription drug products that you order through the Services. There is some level of risk that information in such communications could be read by an unintended Third-Party. By using the Services to order a prescription drug product, you explicitly disclaim any liability and waive and release any claim (to the maximum extent permitted by law), against Groceryspices, its affiliated companies, and Third-Party Providers for any harm or damage arising out of or in connection with any SMS messages, push notifications and/or other electronic notifications. 

 

1. Contract Formation

1.1 Order as Offer: When a customer places an order on groceryspices.com, it constitutes a non-binding offer to purchase the selected product(s).

When a customer places an order on groceryspices.com, it constitutes a revocable offer to purchase the selected product(s) under these terms and conditions. This offer remains valid for [Number] days/hours.

Groceryspices.com reserves the right to accept or reject the offer at its sole discretion. If a product is unavailable, groceryspices.com will notify the customer and may offer a substitute product or a refund.

1.2 Acceptance and Contract: A binding contract between the seller and the buyer is formed only upon successful authorization of the full payment by the payment gateway and dispatch of the goods from our warehouse. Orders will be dispatched only after full payment authorization.

'Dispatch' means the goods have been handed over to the carrier. Groceryspices.com will notify the customer of order acceptance and dispatch via email.

1.3 Contract Termination: The contract is terminated when the customer refuses the notification of acceptance of groceryspices.com's terms or by acceptance of the order by groceryspices.com.

This contract may be terminated by groceryspices.com if the customer refuses to accept these terms and conditions, if the ordered product is unavailable, due to force majeure, or if the customer breaches these terms and conditions. The customer may cancel their order before dispatch by contacting customer service.

1.4 Order Confirmation: Upon order placement, the customer will receive an electronic confirmation email.

Upon order placement, the customer will receive an electronic confirmation email acknowledging receipt of their order. This email does not constitute acceptance of the order. If the customer does not receive a confirmation email within [Timeframe], they should contact customer service.

2. Order Refusal and Account Management

2.1 Grounds for Refusal: groceryspices.com reserves the right to refuse orders if:

  • The customer is unreachable via provided contact information (phone/text/email) for order confirmation.
  • Outstanding payments exist for previous orders.
  • Necessary data (payment method, address, etc.) is missing. The customer is solely responsible for providing correct billing and delivery addresses.
  • Payment methods are abused, or accounts are blocked.

Groceryspices.com reserves the right to refuse orders if: (a) The customer is unreachable after [Number] attempts via the provided contact information (phone/text/email) within a [Timeframe] period for order confirmation. groceryspices.com will document these attempts. (b) The customer has outstanding payments for previous orders that are more than [Number] days overdue unless the charges are currently under legitimate dispute and the customer has provided supporting evidence. (c) Necessary data, including a valid payment method, accurate billing address, and correct delivery address, is missing or incomplete. The customer is responsible for providing and maintaining accurate information. (d) The customer attempts to use a payment method fraudulently, uses unauthorized cards, or engages in other fraudulent activities. Examples of abuse include but are not limited to, using stolen credit cards or attempting chargebacks without a legitimate reason. (e) The customer has previously violated these Terms and Conditions

2.2 Payment Issues: Orders with incomplete or non-payment will be on hold until full payment is received. Unpaid orders will be automatically canceled after seven days, and cancellation charges may apply.

Orders with incomplete or non-payment will be placed on hold for [Number] days. During this time, the customer will be notified of [Number] times via email with instructions on how to complete payment. If full payment is not received within [Number] days, the order will be automatically canceled by the system. The customer will receive a cancellation notification via email. The customer has the right to dispute cancellation fees by contacting customer service within [Timeframe].

2.3 Right to Decline Trade: groceryspices Group reserves the right to decline trade with any individual or organization.

Groceryspices.com reserves the right to decline trade with any individual or organization for legitimate business reasons, such as repeated violations of these Terms and Conditions, abusive or threatening behavior towards staff, suspected fraudulent activity, or other commercially reasonable grounds. groceryspices.com will not refuse trade based on any protected characteristic under applicable law.

2.4 Order Cancellation by Groceryspices: groceryspices may decline or cancel any order, even after payment, by providing notice to the customer within a reasonable timeframe. If payment has been received for a canceled order, a refund will be issued as soon as reasonably practicable.

Groceryspices.com may decline or cancel any order, even after payment, if the product is unavailable, due to unforeseen circumstances, or for other legitimate business reasons. groceryspices.com will provide notice to the customer of the cancellation within [Timeframe]. If payment has been received for a canceled order, a full refund will be issued to the original payment method within [Timeframe]. The customer will receive confirmation of the refund via email.

2.5 Account Registration: To use the Services, you must register for a groceryspices account with accurate and complete information. groceryspices.com may reject or cancel accounts at its discretion.

2.6 Account Blocking: Groceryspices reserves the right to block customer accounts if deemed necessary.

Groceryspices.com reserves the right to block customer accounts for violations of these Terms and Conditions, suspected fraudulent activity, abusive behavior, non-payment, or other legitimate business reasons. The customer will be notified of the account block via email and informed of the reason for the block. The customer has the right to appeal the account block by contacting customer service within [Timeframe].

3. Delivery Area

We currently supply within Europe, primarily in France.

Groceryspices.com currently delivers within Europe, with a primary focus on France. While we strive to serve customers across the European Union, certain geographic limitations may apply. Delivery availability to specific regions within France and other EU countries may vary depending on factors such as local regulations, carrier availability, and logistical constraints.

Within France, we aim to offer comprehensive coverage. However, deliveries to certain remote or difficult-to-access areas, including islands or mountainous regions, may be subject to limited service, extended delivery times, or additional delivery charges. Customers will be informed of any such limitations during the checkout process before order confirmation. For deliveries outside of metropolitan France (e.g., overseas territories), specific terms and conditions, including delivery costs and times, will apply and will be communicated to the customer before order confirmation.

For deliveries to other EU countries, availability and delivery times may vary significantly. Customers are advised to contact our customer service to confirm delivery availability and estimated delivery times to their specific location before placing an order. Additional customs duties, import taxes, or other fees may be payable by the customer upon delivery per the regulations of the destination country. groceryspices.com is not responsible for these additional charges and advises customers to check with their local customs authorities for further information.

Delivery Times: Estimated delivery times are provided for informational purposes only and are not guaranteed. Actual delivery times may vary 1 due to factors outside of our control, such as carrier delays, traffic conditions, or unforeseen circumstances.  

 

Delivery Confirmation: Upon dispatch of the order, the customer will receive a shipping confirmation email with tracking information, where applicable.

Delivery Address: The customer is responsible for providing a correct and complete delivery address. groceryspices.com is not liable for failed deliveries due to incorrect or incomplete address information provided by the customer.

Delivery Attempts: The carrier will typically make [Number] delivery attempts. If delivery is unsuccessful after these attempts, the package may be returned to groceryspices.com or held at a local collection point for the customer to retrieve. The customer will be notified of the next steps.

Delivery Issues: If the customer experiences any issues with their delivery, they should contact our customer service as soon as possible.

This delivery policy is subject to applicable French and EU laws and regulations, including those related to consumer protection, distance selling, and cross-border trade. groceryspices.com reserves the right to modify this delivery policy at any time. Any changes will be posted on the website.

4. Pricing and Price Adjustments

4.1 Displayed Prices: All displayed prices include applicable taxes.

All displayed prices are in Euros (€) and include all applicable taxes, including Value Added Tax (TVA), at the current rate. The specific TVA rate applied to your order will be shown during the checkout process. In the event of a change in applicable tax rates between the time of order placement and delivery, the customer will be notified, and the final price will be adjusted accordingly, subject to applicable law.

4.2 Price Changes: Prices are subject to change. The final price may vary if contract modifications occur between order placement and fulfillment.

Prices are subject to change before order confirmation. Once an order is confirmed by groceryspices.com as per section 1.2, the price is generally fixed for that specific order. However, in exceptional circumstances, such as a clear pricing error, or significant changes in supplier costs outside of groceryspices.com’s control, the price may be adjusted before dispatch. In such a case, the customer will be informed of the price change before dispatch and will have the right to cancel the order without penalty. groceryspices.com will not unilaterally change the price after order confirmation, except as provided above.

4.3 Price Adjustments: We reserve the right to adjust prices, goods, and special offers at our discretion.

Deals, gift coupons, and vouchers are subject to specific terms and conditions, which will be provided with each offer. Unless explicitly stated otherwise, promotional offers cannot be combined. groceryspices.com reserves the right to modify or discontinue promotional offers at any time. Reasonable notice of any changes or discontinuation will be provided on the website or through other appropriate channels. Discounts generally cannot be combined unless specifically permitted in the offer's terms. Discounted products may not be eligible for free shipping unless explicitly stated in the offer.

4.4 Promotional Offers: Deals, gift coupons, and vouchers are exclusive and cannot be combined, exchanged for cash, or applied retroactively. Offers and deals may be discontinued without prior notice. Discounts cannot be combined, and discounted products may not be eligible for free shipping.

You agree that Groceryspices does not assume responsibility for any products, content, services, websites, advertisements, offers, or information that is provided by third parties and made available through the Services, nor does Groceryspices assume responsibility for your interactions with any Third-Party Provider (including a Retailer). You further agree that Groceryspices does not warrant or guarantee that any product information contained on the Services, or any result returned from queries made through the Services, whether made using AI-powered generative experiences or otherwise, is accurate, complete, reliable, current, or error-free. All health and wellness information, nutritional content, and nutritional information are provided for informational purposes only and are not a substitute for the diagnosis, treatment, and advice of a qualified health-care provider. Groceryspices does not warrant or guarantee that any such health, wellness, or nutritional information is accurate, complete, reliable, current, or error-free. 

You understand that search results obtained from the Services, whether done through AI-powered generative experiences or otherwise, may be the same or similar or vary between different users and at different times, and may not necessarily be identical or consistent.  You further agree that Groceryspices does not warrant or guarantee that any material created through any AI-powered generative experience does not infringe the rights of any Third-Party in any subsequent use of the content you may make. If you purchase, use, or access any such products, content, services, advertisements, offers, or information through the Services or you engage with any Third-Party Provider, you agree that you do so at your own risk and that Groceryspices will have no liability based on such purchase, use, access, or engagement.

5. Product Availability and Supply

5.1 Availability: All products are subject to availability and may not always be in stock.

All products are offered subject to availability. While we make every effort to maintain accurate stock information on our website, products may not always be in stock. We update our stock levels [Frequency, e.g., hourly, daily]. The availability status of each product is usually indicated on the product page. However, this information is for guidance only and is not a guarantee of availability.

5.2 Unavailability: If an ordered item is unavailable, we may cancel the order and refund any payment received. The customer will be informed of any delays or cancellations.

If an ordered item is unavailable after order confirmation, we will notify the customer within [Timeframe, e.g., 24 hours] by email or phone. We will offer the customer the option of: (a) waiting for the product to become available (if applicable), (b) receiving a full refund to their original payment method within [Timeframe], or (c) choosing a substitute product (see section 5.5). If the customer does not respond within [Timeframe], we will assume they wish to receive a full refund.

5.3 Discontinuation: We may discontinue any product at any time. Our liability in such cases is limited to refunding any payments received for the unavailable product.

If a discontinued product is part of an existing order that has not yet been dispatched, we will notify the customer and offer a full refund for that item. If the order has already been dispatched, our liability is limited to refunding any payments received for the unavailable product.

5.4 Partial Fulfillment: If an order cannot be fully fulfilled, we will process the available items and credit the remaining amount to the customer's groceryspices.com account wallet.

If an order cannot be fully fulfilled, we will process the available items and notify the customer within [Timeframe]. The customer will have the option of: (a) receiving a refund to their original payment method for the unfulfilled items within [Timeframe], or (b) receiving store credit in their groceryspices.com account wallet for the unfulfilled items. If the customer does not respond within [Timeframe], we will assume they prefer a refund to their original payment method.

5.5 Substitutions: We may provide substitute products if the original product is unavailable or has been superseded.

If the original product is unavailable, we may offer the customer a substitute product of comparable quality and price. We will never substitute a product without the customer's prior consent. The customer will be provided with full details of the substitute product, including its price and specifications, and will have the right to accept or refuse the substitution. If the customer refuses the substitute, they will receive a refund for the original product.

5.6 Back Orders: Unfulfilled balances may be placed on backorder or canceled and refunded at the customer's option.

Unfulfilled balances may be placed on backorder with the customer's consent. If an item is unavailable and the customer wishes to place it on backorder, we will provide an estimated timeframe for when the product is expected to be back in stock. The customer has the right to cancel the backorder at any time and receive a full refund. If the customer does not respond within [Timeframe] regarding backorder, we will assume they wish to receive a refund for the unfulfilled item.

6. Shipping and Delivery

6.1 Delivery Methods: We use GROCERYSPICES EXPRESS for deliveries in specific zones (detailed in the shipping cost link) and PACKLINK – UPS, CHRONOPOST, and COLISSIMO for other areas of France.

For deliveries within designated zones in France (detailed on the [Link to Shipping Cost Page] page), we use our delivery service, GROCERYSPICES EXPRESS. For other areas of France, we use PACKLINK, which offers a choice of carriers, including UPS, Chronopost, and Colissimo. The available carrier options and associated costs will be displayed during the checkout process. For international deliveries, we use [Carrier Names] and specific terms and conditions apply (see [Link to International Shipping Policy]).

6.2 Postal Service Delivery: Tracking information will be provided via email. It is the customer's responsibility to track their parcel and contact the transporter or groceryspices.com with any queries. Failure to track or collect packages may void any refund claims. Customers opting for Pickup Point delivery must collect perishables within 24 hours; otherwise, refunds for spoiled items will not be granted.

Tracking information will be provided via email when the order is dispatched. While it is the customer's responsibility to monitor the tracking information, groceryspices.com will also monitor deliveries and assist with any queries. If a package is lost or significantly delayed due to the carrier's fault, groceryspices.com will work with the carrier to resolve the issue and the customer will be eligible for a refund or redelivery (depending on the circumstances). For Pickup Point deliveries, it is essential to collect perishable items within 24 hours of notification. Customers will receive a reminder notification.
